Course summary

In this 90-minute course we will explore the two main purchase price mechanisms used in M&A transactions. The Locked Box and Completion Accounts. And you will learn more about the Locked Box in particular.

This course is perfect for second and third year analysts active in M&A advisory whom already have been involved in some M&A transactions and have a basic knowledge of the SPA.

Learning goals

By the end of this course you will be able to decide whether a Locked Box would be appropriate for your transaction. You will understand the main concepts of the purchase price calculation when using a Locked Box and you will be able to advise your client on legal protection concerning the conduct of business and potential leakage during the locked box period.

Course structure

This course is structured in multiple short videos and ends with an exam. In addition to the videos and quizzes you can find readings, best practice templates and related videos about trending topics in the - course materials section - on the left (once you have entered the course). These materials are part of the curriculum and required for the exam.

To complete the course successfully and obtain a course certificate you are required to achieve a score of 75% on your exam, finish one of the challenges and assess one challenge of your peers. Note that you can retake exams.
